1. Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client,” “you,” or “your”) and Back Office Boost, a Doing Business As (DBA) entity of Healthy Minds Rx (“Company,” “we,” “us,” or “our”), governing your access to and use of our website, platforms, and services (collectively, the “Services”).
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must discontinue use of our Services immediately.

2. Services Provided
Back Office Boost provides administrative, operational, and business support solutions, which may include but are not limited to:

Marketing strategy and support

Website and technical assistance
-
Call, fax, and email management
-
Credentialing and practice launch support

Billing and insurance services
-
Administrative and workflow optimization
The scope of Services will be defined in a written agreement or engagement letter between the Client and Back Office Boost.

3. Client Responsibilities
You agree to:

Provide accurate, complete, and current information as reasonably required for delivery of Services.

Ensure that you have the legal authority to share business, financial, and (if applicable) health-related information with us.

Use the Services only in compliance with applicable laws, regulations, and professional obligations.

Maintain the confidentiality of any login credentials or account access provided.
4. Fees and Payment

Fees for Services will be communicated in writing prior to commencement.

Payments are due as specified in the invoice or service agreement.

Late payments may incur additional charges or suspension of Services until the account is brought current.

All fees are non-refundable unless otherwise expressly stated in writing.
5. Confidentiality
We agree to maintain the confidentiality of Client information, including personal, business, and financial records, except as required by law or as necessary to perform the Services.
If handling protected health information (PHI), we comply with applicable privacy and security requirements, including HIPAA where relevant.
6. Intellectual Property
All materials, templates, systems, and processes created by Back Office Boost in the course of providing Services remain the intellectual property of Back Office Boost unless expressly transferred in writing. Clients receive a limited, non-transferable license to use such materials solely for their own business operations.

7. Limitation of Liability
To the maximum extent permitted by law:

Back Office Boost shall not be liable for indirect, incidental, consequential, or punitive damages arising from the use of our Services.

Our total liability for any claim relating to the Services shall not exceed the fees paid by the Client for the specific Service giving rise to the claim.

8. Disclaimer of Warranties
The Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

9. Termination
We may suspend or terminate Services immediately if you breach these Terms, fail to pay fees when due, or engage in unlawful or improper use of our Services. Clients may terminate Services by providing written notice in accordance with the service agreement.

10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States of America or the state where the client is licensed, without regard to conflict of law provisions. Any disputes shall be resolved in the state or federal courts located within said state.

11. Amendments
We reserve the right to modify or update these Terms at any time. Changes will be effective upon posting to our website with an updated “Effective Date.” Continued use of the Services after changes constitutes acceptance of the revised Terms.
